END-USER LICENSE AGREEMENT (EULA)

This End-User License Agreement (“Agreement”) is a legal agreement between you (“User” or “you”) and Genoma Bioinformatics LLC (“Company,” “we,” “us,” or “our”) governing your use of our software, tools, and related services (the “Software”). By installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, you may not use the Software.
1. License Grant
- Scope: Subject to your compliance with this Agreement, we grant you a non-exclusive, non-transferable, revocable license to use the Software for your internal research purposes.
- Restrictions: You may not:
- Copy, modify, or create derivative works of the Software unless otherwise part of a Subscription Contract.
- Reverse engineer, decompile, or disassemble the Software unless otherwise part of a Subscription Contract.
- Redistribute, sublicense, or transfer the Software to any third party.
- Use the Software for any purpose other than as expressly permitted in this Agreement.
2. Ownership
- Retained Rights: The Software is licensed, not sold. We retain all right, title, and interest in and to the Software, including all intellectual property rights.
- Feedback: If you provide feedback or suggestions about the Software, we may use them without obligation to you.
3. Term and Termination
- Term: This Agreement remains in effect until terminated.
- Termination by You: You may terminate this Agreement by ceasing use of the Software and deleting all copies.
- Termination by Us: We may terminate this Agreement if you breach any of its terms. Upon termination, you must cease all use of the Software and delete all copies.
4. Limitations of Liability
- No Warranty: The Software is provided “as is” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
- Limitation of Liability: To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Software.
5. Governing Law
This Agreement is governed by the laws of the State of Nebraska, without regard to its conflict of law principles.
6. Changes to This Agreement
We may update this Agreement from time to time. If we make material changes, we will notify you by email or through the Software. Your continued use of the Software after such changes constitutes your acceptance of the updated Agreement.
