INDEPENDENT CONTRACTOR AGREEMENT

1. Services

- Obligations: The Contractor agrees to:

- Protect Confidential Information with reasonable care.
- Not disclose Confidential Information to any third party without the Company’s prior written consent.
6. Intellectual Property (IP)
- Ownership: The Contractor retains ownership of any intellectual property they create.
- License to Company: The Contractor grants the Company a perpetual, royalty-free, worldwide license to use, modify, and distribute any IP created during the course of their work.
7. Governing Law
This Agreement is governed by the laws of the State of Nebraska, without regard to its conflict of law principles.
8. Miscellaneous
- Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements or understandings.
- Amendments: Any amendments to this Agreement must be in writing and signed by both parties.
