GENOMA BIOINFORMATICS LLC
SUBSCRIPTION CONTRACT

This Subscription Contract (“Contract”) is entered into by and between:
Genoma Bioinformatics LLC (“Company”), located at [Genoma Bioinformatics], and
[Client’s Name/Company Name] (“Client”), located at [Client’s Address].
The parties agree as follows:
1. Subscription Tiers
The Company offers the following subscription tiers:
- Tier 1:
- Storage: 100 GB of shared compute space included, pay-as-needed.
- Compute: Dynamic shared compute.
- Support: Email, phone, and video support with a response time of within 48 hours.
- Tier 2:
- Storage: 500 GB of shared compute space included, pay-as-needed.
- Compute: Dedicated compute.
- Support: Email, phone, and video support with a response time of within 24 hours.
- Tier 3:
- Storage: 1 TB of shared compute space included, pay-as-needed.
- Compute: Scaled compute.
- Support: Email, phone, and video support with a response time of within 12 hours.
2. Pricing and Payment Terms
- Subscription Fees:
- Tier 1: $500/month.
- Tier 2: $1500/month
- Tier 3: $3000/month
- Additional Costs:
- Analyses or projects as ordered, extra computing, and extra storage will be billed separately.
- Billing:
- Invoices will be issued monthly.
- Payment methods: Credit card, bank transfer, or PayPal.
- Late Fees:
- A 20% late fee will be accrued on the 31st day after the invoice date and every 30 days thereafter.
3. Term and Renewal
- Term:
- Subscriptions are month-to-month or available in 3, 6, or 12-month packages with discounts.
- Auto-Renewal:
- Subscriptions will auto-renew unless the Client signs a Cancellation Contract.
- One-time subscriptions are also available upon request.
4. Cancellation Policy
- Cancellation Process:
- The Client must sign a Cancellation Contract to terminate the subscription.
- No Refunds:
- No refunds will be issued for partial months or unused services.
5. Support and Service Levels
- Tier 1: Email, phone, and video support with a response time of within 48 hours.
- Tier 2: Email, phone, and video support with a response time of within 24 hours.
- Tier 3: Email, phone, video, and live support with a response time of within 12 hours.
6. Data Handling
- Data Protection: Data will be handled in accordance with the Company’s Data Processing Agreement and Data Management and Sharing Policy.
- Data Retention: Data will be retained for up to 30 days after cancellation to allow the Client to retrieve it, after which it will be permanently deleted.
7. Limitations of Liability
- Service Interruptions: The Company is not liable for service interruptions caused by third-party providers (e.g., cloud providers).
- Maximum Liability: The Company’s maximum liability for any claim is limited to the total fees paid by the Client in the 12 months preceding the claim.
8. Governing Law
This Contract is governed by the laws of the State of Nebraska, without regard to its conflict of law principles.
9. Entire Agreement
This Contract constitutes the entire agreement between the parties and supersedes all prior agreements or understandings. Any amendments must be in writing and signed by both parties.
